When you become a Director, you sign a new/different agreement with the company, not in any way the same as what a Sr. Manager and below signs. Bonus numbers change, stock grants change, etc.

It's why the In Dee Ah folks are getting promoted to directors. So they can send all their money back to In Dee Ah for their retirements.
