There is almost zero chance that the AT&T board will ever be outvoted by private shareholders.
The company has a clause that states that any shares votes that are not cast by the shareholder will be cast by the board in the manner in which the board decides. Maybe some other incorporated companies do not have that rule but AT&T does.
Also, probably 80% or more of individual shareholders just send the card in giving proxy to the board for the votes on their shares.
The only groups that really have any chance to sway decisions are the mutual funds and the hedge funds, and normally as long as those groups are happy with "expedited" information they happen to receive they will vote according to how the board requests.
In AT&T the correct term is share"holder", there is no individual ownership of any part of this company.

It was not approved, since Vanguard and BlackRock are too busy chasing Climate Change, and the largest individual shareholder, Ratty, would not vote for it either.
It’s the Board of Directors appointed by Stankey! Stankey essentially controls the committee that approves his compensation.
