Frontier communications agrees to merger with Windstream

LITTLE ROCK, Ark., Apr. 1, 2021 (GLOBE NEWSWIRE) and Norwalk, CT –
Frontier Communications Corporation ("Frontier") and Windstream Communications Inc. ("Windstream") seek the Commission's consent for the assignment and transfer of control of various licenses and authorizations for purposes of sections 214 and 310(d) of the Communications Act of 1934. Frontier, a widely-held and publicly traded corporation, is a full service communication provider focusing on rural areas and smaller cities and provides an array of telecommunications and broadband Internet access services through its wholly-owned operating companies in 34 states. .

This deal comes after exiting chapter 11 bankruptcy.Elliot management help maked the deal possible after taking control interest in both companies. Windstream emerged from bankruptcy a year ago. We hope the combined assets will generate synergy savings in the wireline business. Exact details of the merger are yet to be released. Windstream will have the right to appoint three of the nine board members and Frontier will have the right to appoint six of the nine members of the newly-merged Frontier Board of Directors.

Windstream's big shareholder, the Elliott Management hedge fund, has a free hand with Windstream but not Uniti. Uniti's shareholders would have to see a plus to this for them to go along. If Elliott offered a poor deal, then other hedge funds would buy up Uniti stock and force a better deal. You'd end up with vultures vs vultures with their clouds of supporting lawyer birds squabbling over their share of roadkill.

I'm not saying this can't happen, I'm just saying it's complicated and may or may not make sense for some of the parties.

Ftr is going through major changes just as we did 2 years ago. They are HEAVY union and ILEC only, they are all utility and regulated accordingly.

Wait until after the contracts expire with the union members. Lots of changes coming down the pipe on this one. I would expect announcements in May not now.

I also agree as a service they are really broken. People think outsourcing support was a bad idea for win, wait until you meet the laziness of a union linemen.

Not happening. No announcement from Uniti - trust me, they hype even small deals.

It would make sense that Frontier and Uniti might do this but so far it's not happening.

Additionally, while the bankruptcy court approved Frontier's restructuring plan late last year, it's still technically in bankruptcy pending regulatory approval from several states. I know WV was still grilling them on service issues last month. They couldn't do that big a deal without court approval while in bankruptcy. It also potentially reduces the collateral available for existing bondholders without their approval - we see how that worked for Windstream previously!

What value does windstream offer without the outside plant?
Kinetic doesn't exist if you cannot connect your CO to the customer.

Uniti technically isnt affiliated with windstream, they wouldnt be involved. Elliot is going to continue to play in windstreams shell game. They dont need to. Why would elliot give away their outside plant to a 3rd party company? Other carriers will actually pay you money for that outside plant, tt always slid windstreams capital to unity for pennies on the dollar.
