You’re right that the money is in the contracts themselves. And yes, it would likely be an effort in absorbing vs integrating.

However, you’re still paying for the mess even if you don’t want it and even if it’s discounted accordingly.

No matter when a deal closes you have at least 1-2 years minimum to dismantle, sell, layoff, etc. That’s if you can even move that quickly. I would guess 3-5 years of carrying that weight on your books.

But the money is made when you take the most run-down, undervalued property and make it shine again. The equity you gain from shining that penny, if you have the knowledge to do it, can be very high. You don't gain equity if you buy something at its worth. Nobody in the business of making big money is going to go after the fancy company who has no issues. That company is worth a lot more than the one who is all messed up. They're going to want to buy the hot mess to get more bang for their buck.

I'm not sure about United, but I fully believe the new Centene leadership/board are making plans to sell the company off. They're already working on "LEAN"ing everything down as much as possible and cutting costs everywhere, despite the sh**ty service that members and providers are getting. Mark my words, it's to make the company more financially desirable for takeover. A new company isn't going to care about all of the breakdowns because they'll just absorb it into their own processes and workflows. The value is in the contracts and removing a major competitor. It looks like Centene has been trying to clean up the fraud issues in each state by settling, which would be a deterrent for new ownership.

United is already a monopoly. They need to be broken up. Any purchaser will have to divest a portion of the company to someone else to address monopoly concerns.
