KERP, Uniti and the creditors

Currently, Uniti gets its rent money before any of the creditors. It's worth billions to the creditors to get this changed.

Uniti's lease was declared a valid lease in the Aurelius lawsuit - for the purposes of that lawsuit (under the specific laws and terms that applied to the terms of Windstream's outstanding bonds).

Now, the creditors and Windstream are trying to get the same lease declared just a financial transaction, not a true lease, under the slightly different specific laws that apply to bankruptcies.

If that happens, Uniti goes to the back of the line after most of the creditors. Even the unsecureds get more.

Windstream and the creditors _sort of_ have a case under certain interpretations of the law and the Windstream-Uniti history, but it's viewed by many as weak. The Uniti side has a stronger case.

To win, the creditors really have to thread a tricky needle given the record. The execs are already on the record on the other side of this issue from statements they made during the spinoff and the Aurelius suit.

Windstream management's testimony now in support of the creditors is critical. So they've got to wiggle through this just right to support that the Uniti was one thing under one set of rules and totally different under very slightly different rules.

The execs face felony perjury charges if they lie.

The creditors might support the generous 2020 KERP (Key Employee Retention Plan) for the execs just to keep them motivated to "say the right things."

When uncle Tony was king of unit he set this up as a triple net lease. This isn't as cut and dry as it looks. REITs and NNN leases were never supposed to be used this way. Judge Drain will decide if
Aurelius case is a preceded or not. This will declare if it's a lease or financial transaction.

I know the SEC has jurisdiction over this sort of thing but aren’t they sort of toothless? It’s not like Wall Street seems very afraid of them. I’m not sure they’re staffed, funded or motivated to “dig”

Accountants don’t wear Kevlar vests and kick in doors but it might be fun if they did in this case

I don’t think Uniti owns any buildings beyond stuff like equipment huts. Windstream leases office space from regular landlords.

That said, the Uniti lease is structured like many commercial aircraft “dry” leases: the lessee pays the taxes, does the maintenance, etc.

So yeah, if Uniti did also own those buildings you’d still be maintenance.

It’s always looked like that whole spinoff was set up to have one company getting all the rewards and the other working as the sharecropper. I never understood why you’d think that was a good idea — looks like it wasn’t.

I am hoping all 6 see prison time. Rico laws cover those co-conspirator of know and unknown to the one breaking the law.

Let's just pray at least one or two of the Arkansas 5 takes their millions to prison, preferably the top two. This was a scam from the beginning and now everyone is watching this robbery in real time. Windstream did not have to go into bankruptcy, they could have paid the Aurelius judgement from the sale of Earthlink.

Yeah, the wasteful spending has to be intentional as it makes zero sense. WIN rents an office building where about 300 people work and we own outright a much nicer facility 5mi away and we leave that space vacant. But we still have to go out to the empty building and run/service the generators, UPS(s) and HVAC systems. Shouldnt Uniti service the vacant buildings Windstream isnt using? Why are net techs doing that work for Uniti?!

For ones reading pleasure. It's like signing up to miss ones grass, and having to do plumbing on your dime to water the grass. After fixing their lawn mower with a new motor. Can't believe Feds let stuff like this go on.
