What will happen if the merger fail?

Will there be massive layoffs, spinoff etc ... ? Given VMW has been screwed so hard for 1.5 years?

Deal falls through, then:

  1. Stock price tanks, possibly under $100
  2. Planned gutting of VMware and whatever plans for the various technologies and spin offs, continues
  3. Layoffs, which have been deferred because of the acquisition, happen just as badly.
  4. MD/SL and others sell off parts of the business.

In other words, instead of BC executing the new strategy of focused cash cow, current shareholders continue on same path.

Our hippy EPIC2 days are already gone, and aren't coming back.

Here is how we were screwed...

We were given puppet leadership that was doing whatever they were directed to by BC (10'm of Millions of dollars pay out to do it, can't blame them). They had no concern about what was best for VMW's future beyond BC. No thoughts of how to make us better.

We have made no major technology advancements or acquisitions of technology - because BC didn't want us to.

We have been in limbo on our current product packaging because BC wants to change it.

Our clients are nervous because they don't understand the future.

Many employees are not working due to lack of communication and uncertainty.

This list can go on and on.

I have been through several acquisitions, this one has has had extremely poor communication.

If the merger fails, the company will go on. Michael Dell will still want to sell us. But the question is, out of the few companies with enough cash to acquire us, will any be willing to try, given China's current stance towards M&A?

We have learned some valuable lessons over the last year, though.

  1. Most of our customers and the company lack faith in our current leadership and strategy.
  2. Broadcom has cast a huge spotlight on how poorly run the company is. Everything from product margins to product quality, to pricing and packaging, to unneeded operational fluff. We waste a lot of money on things that don't matter and have proven ourselves too incoherent to do anything about it.
  3. We have too many people, most of whom don't contribute to the business meaningfully.
  4. We have too many people in middle management who contribute nothing meaningful to the business and only serve as distractors to the ICs that do. This creates unneeded political drama and infighting as egos clash, resulting in very little being done.

All in all, if the deal does fall through, hopefully, the right people learn from these lessons and do something about it, but it gotta start with #1, and drastic change needs to happen at the top.

Guys are you leaving in Dreamland.. in every acquisition you will have layoffs.. and it's normal they haven't communicated anything, legally they can't do it in advance. They paid 69 billion, do you think this is a change that will be done in a day...? They told us what to expect, to receive communication from mid-October- November, so what is happening is what they told us , what else do you want ? you are acting like teenagers

Who would desire to be employed by a company that struggles to communicate and displays little regard for its employees? I wish that my colleagues at VMware consider seeking job opportunities that better align with their deserving qualities. I strongly advocate for Broadcom to invest in communication training.
