Thread regarding VMware layoffs

What does this mean to us?

https://www.reuters.com/markets/deals/eu-antitrust-regulators-set-warn-broadcom-61-bln-vmware-deal-sources-2023-02-27/

Or it's just another noop?

If they lost one last month it also means they are learning from failure.

the FTC literally just lost a lawsuit last month to stop Meta acquiring Within - to say a FTC lawsuit is gonna stop Broadcom is hilarious.

Yikes.. @1mgt+1loyfR9Z. The third bullet is exactly what HT did in past takeovers.

@1gdl+1loyfR9Z here are 4 potential reasons.

Interoperability was mentioned by @1hkh+1loyfR9Z. These areas are related. HTH.

  • Consolidation in the semiconductor market: Broadcom is already a major player in the semiconductor industry, and its acquisition of VMware would further consolidate its position. This could reduce competition in the market and lead to higher prices for customers.
  • Reduced innovation: If the acquisition leads to reduced competition, there may be less incentive for companies to invest in research and development, leading to a decline in innovation and potentially limiting technological progress in the semiconductor industry.
  • Leveraging market power: Broadcom's increased market power resulting from the acquisition could allow it to engage in anti-competitive practices, such as excluding rivals from markets or setting unfair prices.
  • Impacts on downstream industries: The semiconductor industry is a critical supplier for many downstream industries, including the automotive, telecommunications, and consumer electronics industries. If the acquisition harms competition in the semiconductor market, it could have negative impacts on these industries as well.

Hey OP (@OP+1loyfR9Z)
Warnings are a common tool used by antitrust regulators to address concerns about a proposed merger or acquisition. When antitrust regulators review a proposed transaction, they analyze the potential impact on competition in the relevant market. If they identify potential competition issues, they may issue a warning to the companies involved, highlighting the areas of concern, and requesting more information or proposing remedies to address the issues.

Warnings are often given when regulators believe that a proposed merger or acquisition may harm competition, but they are not yet convinced that the deal will cause harm. Warnings give companies the opportunity to address the regulators' concerns and potentially modify the terms of the deal to address any competition issues. HTH.

“ I cannot see why it’s a competitive problem, we are not in any of the Broadcom businesses so what would the objection be?”

The regulators have stopped focusing on vertical competition effects but instead interoperability. FTC is looking to sue so even if EC gives their blessing with preconditions, FTC and the UK can still stop the deal. The chances of this going through have narrowed considerably. I for one don’t mind it going through because of the effect on the stocks, but I’m also not in denial like some here thinking the merge is all hunky dory. Those who are so desperate for the merge to go through are probably getting something in return. Well be prepared to say goodbye to that retention bonus coz it doesn’t look good anymore.

what does a "warning" mean? does it mean EU will reject the deal?
Or Broadcom will be given an option to make some changes/concessions to the deal?

There certainly has been a lot of “no op” reporting and clickbait - that is simply the nature of the Internet now no matter what the topic.

I feel this is also one of the “no op” articles. Go read them all day long, what do I care, people are free to do whatever they want in this regard, but imho this is a nothing burger.

Reuters reported it. I don’t think it’s a rumor.

Reuters called it out as such: "people familiar with the matter said".

There's no official statement. Just an anonymous source telling the press. Everything beyond that first paragraph is a repeat of what is already been known for months.

It's likely true as Reuters has a reputation to protect. But until it is officially released, it's a rumor.

“Oh please. Stop getting hysterical over every news article. This is an unconfirmed rumor of something that may or may not happen”

Reuters reported it. I don’t think it’s a rumor. The EC has been transparent all along that it has misgivings about the deal.

"People don't need to keep raising their blood pressure every week with these articles."

Who are you to say what people need or don't need to do?

Oh right. All-knowing, all-seeing Silicon Valley H1B mafia knows what's best. Just relax. I'm sure it will be fine.

Such typical VMW gaslighting. Telling people to shut up and get back to work. You're not allowed to know what any of it means, peasant! Don't question anything!

Oh please. Stop getting hysterical over every news article. This is an unconfirmed rumor of something that may or may not happen. People don't need to keep raising their blood pressure every week with these articles. Wait until something substantiated is released and then make a determination for what you and your family need. Until then, this has zero impact on you.

"Nothing. All these little leaks or messages mean didly squat.

Focus on your day to day. Vest those RSUs, set yourself for anything. Ignore the static and noise."

We have been trending down compared to AVGO for over a week. They are pricing in more risk and longer timelines on the acquisition. No biggie.
