What are we to make of execs like Pronsati selling off large shareholdings short of the declared offer of 44.50; is it a tax thing, a legal thing, or something else?

Nothing to read into this. Executives have plans that sell stock on predetermined dates. Others have sold since the deal was announced as well and some even right before based on these plans. Forgot what they are called but something like a 10.5. plan.

I think it’s more complicated. If I read this right he also exercised options to buy, and could be the selloff was to cover taxable gains.
