Thread regarding ADP layoffs

A tough decision....(and neither are good)

Just looking for a bit of insight here if anyone has any thoughts on the matter. As a shareholder of ADP (and also a former employee) I received my proxy cards the other day. One to vote keeping the ADP board in tact as it is which the company is obviously encouraging or the other to vote yes to reorganizing the board. Suffice it to say I am having a tough time making a decision.

Carlos is obviously a piece of crap who has fired half the company and ADP is now quite possibly the most dysfunctional company on planet earth. Unfortunately it looks like Bill Ackman is NOT looking to oust Carlos any longer, simply to replace 3 other members. The problem is if Ackman wins the proxy battle associates jobs will be no safer, in fact many more may be let go.

If it was just screwing over Carlos (and nobody else would get hurt by this) I'd be happy to vote for the reorganization. And of course, as a shareholder, yes, I'd like to see the stock continue to rise, however, I can't in good conscience vote for a reorganization that may hurt more people. There is more to life than the almighty dollar.

I am really feeling like I don't want to support either side and may simply toss the proxy cards in the garbage. I guess I'm caught between a rock and a hard place.

Just looking for some feed back.

As an Adp employee - If you don't want to vote "for" anyone, vote against what has taken place since Carlos became president. Vote for change.

Carlos made the decision to have the mass layoffs and downsize so if you vote for anyone vote his a-- out he needs to go. He is the one placing people out of work not the other guy .

I understand how you feel: "I don't want to support either side and may simply toss the proxy cards in the garbage." But per the first paragraph on the voting instruction form stipulates, if no direction is given (by you), then your shares will be voted FOR the election of the nominees in Proposal 1, FOR Proposals 2 and 4, ONE YEAR on Proposal 3, and AGAINST Proposal 5.

Make a decision that you are satisfied with. Do not leave it up to the Board to decide for you. Haven't they decided enough about your life whether you support the current management or the Pershing Square, you decide for yourself, rather than leave it up to ADP management again.

I work at ADP and will be voting to reorganize the board. All of the layoffs are hurting the clients big time! I see layoffs happening in groups that can't even keep up with the workload they have. Meaning clients do not get the service they pay for. Any jobs that are re filled are done so with people without training. Nobody knows who to go to for help and the front line staff dealing with the client don't even know how to decipher what the client is asking. It's a joke. Vote in any way that will get Carlos out.

But just maybe if ackman gets voted in, he will shift gears and try to really oust carlos..lol

You never know. I say vote for Ackman. Watch what he said on his CNBC intvw on that ADP Ascending website. I think the intvw was late Sept. My 2 cents!

From what I have read up on Ackman does not touch the employees who do the work. He focuses on getting rid of all the layers in between the lower managers of the employees doing all the work with the clients to Carlos. So all of upper management are the ones who would be on the chopping block. That's my take on it. I do think Carlos and his team need to go.

I also am in the same situation as you - a former employee who has ADP stock. I agree with your thoughts. My decision has been not to vote. We don't really know what is going to happen if either situation is voted in. But my view is that whatever happens, the employees are going to get screwed over either way.
