"On August 10, 2017 a fourth purported class action lawsuit relating to the Merger was filed against the Company and each of its directors in the United States District Court for the District of Massachusetts. The lawsuit, captioned Leif Haugen v. Staples, Inc. et al., Civil Action No. 1:17-cv-11480, alleges violations of Sections 14(a) and 20(a) of the Securities Exchange Act of 1934 and Rule 14a-9 promulgated thereunder against the defendants for allegedly disseminating a materially incomplete and misleading proxy statement in connection with the Merger. The plaintiff seeks injunctive relief enjoining defendants from proceeding with the Merger or any vote on the Merger. The plaintiff also seeks an accounting and an award of costs and attorneys’ fees. The Company and its directors believe this lawsuit is without merit and intend to defend against it vigorously."
Basically, investors are suing to stop the Staples-Sycamore merger....
