Anadarko looking at acquiring Noble Energy

I'm not sure how long this has been in the works, although the employees at Noble seem to think it's been awhile. Noble is looking for a suitable purchaser to cash out the current management. Anadarko asked them to clean up the balance sheet, and unload the disastrous venture in the Marcellus with Consol Energy.

Done.

Anadarko asked Noble to clean up operations in Colorado with Greeley office and downtown Denver location.

Underway.

Bad news is that HQ will probably not remain in The Woodlands.

Still, it is a good fit, as Noble has stripped down to quality assets and shed many employees.

I've worked at both companies. Trust me Noble s---s way more than Anadarko. It's not even close.

Er... you do realize Noble is even more messed up than Anadarko? Quality assets? Hardly. Check their quarterly reports. Burning cash and selling assets left, right and center to stay afloat. Lots of fluff about pursuing oil yet in reality they're heavily weighted towards gas. Majority of their production in West Texas is gas and gas liquids (75%). In E.G. 60% of production is gas and at Alba they only get 25 cents per MCF, at Alen it's only about 50-55 cents per MCF. No joke. They have no access to LNG and the liquids production is in steep decline. Israel is the bright spot, however leviathan is a very expensive development. It's all gas and faces ongoing governmental obstacles. They've been trying for years to s---er a deep pocketed partner to make It work and haven't found any takers. Woodside almost bit but ultimately pulled out due to regulatory uncertainty. The only upside to Anadarko might be a targeted purchase of their DJ asset and the operational efficiency it might bring. Otherwise Noble is a boat anchor.

Amazon just purchased a grocery chain last week. They want to sell every type of product or service. Hey Amazon time to get into the oil business. Amazon could buy both Anadarko & Noble.

Pray, pray this is just a rumor or that management is only thinking about buying specific assets like the DJ. Buying all of Noble Energy would be the equivalent of putting a millstone around APC's corporate neck. Crap assets, crap staff. Big mistake.

This begs the question of "has everyone jumped out of the frying pan into the fire?". Leadership is sub-normal at APC. There are folks without degrees running important areas using fear and intimidation to get the worker bees in line. Micromanagement is a preferred method. Bunch of dogs chaining thier tails hoping their food bowl is full. Both companies deserve what is coming.

Noble is a great fit. It's a major move in the DJ, and the Delaware Basin is the future.

Spin off Israel to finance it, or keep Leviathan if you can. Noble employees would cheer the takeover.

Plan would be to acquire with a mix of stock and cash, sell off non strategic assets, sell down strategic assets for OPM, eliminate redundant headcount to save overhead, use the cash to fund capex, and improve the high leverage (under control since the refinancing) by adding more assets and equity to the balance sheet. Could then borrow more if necessary.

Now watch them f--- it up.

Doesnt make sense unless Noble has a lot of really low cost oil that can generate a per bbl margin that eats away at Anadarko's overhead. But wtf do I know, I wasn't hired to run a respected, profitable company into the ground.

I don't see the company leaving the Woodlands. The company has to stay in Houston so it's not moving to CO. Too many in management live in the woodlands and enjoy the soft life. The towers are comparatively cheap facilities because of the county tax breaks.

That is totally up to APC. Probably nothing changes.

The Confidentiality Agreement for this transaction isn't signed as of tonight, although I hear that's a matter of refining some exhibits. APC is the preferred buyer, but BP wants to make a run, too. People are working late here to make this happen soon.

Anadarko can't even break even operating our own assets. Taking on a company almost as dysfunctional as themselves won't solve anything. Plus every credit agency has been downgrading APC. Our debt ratio is one of the worst in the industry.
