Not sure if I should accept it... Pay is good, people are friendly but I'd worry about upcoming layoffs, if any. Any comments/recommendations?

Are you kidding me. Unless you have nothing to pay your bills, or you are planning to do nothing at works. Either way - CTO office is great.

VMWare is not separate anymore. EMC runs the VMWare CFO position directly now. It's only matter of time until we are sold off to IBM who will then fire half of the US based workforce.
I would take the role. I worked there for 10 years and is a great company, great products, great culture. If you are in the CTO office you are clearly a clever candidate and if it goes south then there's plenty of opportunity elsewhere. I doubt anything major will happen post Dell/EMC merger, for at least 12 months anyway. VMware is pretty separate so immune to a lot of change.
Office of CTO is one of the safest orgs in the company. If layoffs are your concern they shouldn't be.
