Deal close & next

Deal close might happen as early as this Friday, if the DOJ approves. This will potentially sc--w up the Thanksgiving holiday weekend for some.
Employee day one (ED1) is rumored to be early April for the US. Asia might be 3 months later.
All of the CEO staff except DJ are expected to leave between CD1 and ED1. ML leads the exodus.

It seems that there has been so much business information that Juniper has shared with HPE, that it has the possibility of running into legal issues with the DOJ, if they decide to investigate.

Hearing the same from my leadership although in hushed tones. The mood certainly has gone from being highly optimistic that it's a done deal to somewhat realistically this might take a while, to the possibility that there is a chance that the deal might be blocked.

There is a very high probability of the deal not closing this year. It most likely would be punted to once the new govt takes over with a tentative close date sometime in late Q1.
The tone now also seems to be focus on existing priorities and business as usual. The earlier enthusiasm about the deal closing early is significantly damped since the Bloomberg "last rites" reporting.
A lot of upcoming integration meetings and workshops scheduled for December seem to have been be canceled in the past couple of days.

No matter when it closes, ED1 will be 90 days from close date. Across the board, all countries/all offices. That is just how acquisitions work.

Despite the news in Bloomberg, about this deal going through the last rites scenario, the leadership seems to be quite confident that this might tentatively close sometime mid next week. OP might be right about our Thanksgiving holiday weekend getting sc--wed.

Juniper has been g-n jumping way before the announcement. Aligning internal processes, expense thresholds, bonus payment schedules, et cetera. DOJ isn’t stupid. Plenty of whistleblowers who don’t care about the C level getting a big pay out with this acquisition.

Looks like the deal is getting enough pushback from DOJ, that they may defer and not pursue further until Trump is in White House and a more corporate friendly DOJ is in place.

Surprised to see that confidential information has been shared even before the deal is closed. This to a large extent is illegal and might have a negative bearing on the deal close. The legal department and the chief legal officer don't seem to be doing their job.

The high-stakes meeting between the companies and the Justice Department’s top antitrust officials typically occurs before the government decides whether to file a lawsuit. It’s often referred to as a “last-rites” meeting.

So much confidential info has been shared with HPE, that Juniper will be at a massive disadvantage if this thing falls through. Last rites indeed.

I agree with the information sharing comment. There has been just too much information that has been shared with HPE. When the HPE teams ask Juniper, our leadership seems to be more than happy to oblige and even go the extra mile.

I have been part of acquisitions at my previous company and we never had to share this level of detail until after the deal was closed.

HPE seems to now know about Juniper a micro level due to the stupidity of our execs and their impulsiveness of getting this transaction closed early. This itself should be a Red flag from a DOJ perspective.
