When FTC/DOJ considers mergers and acquisitions, it's not as simple as considering whether there are monopoly issues. They are law enforcement agencies enforcing various laws regarding mergers and their macroeconomic effects.
From the FTC website, this is broadly what they are looking at: Some mergers change market dynamics in ways that can lead to higher prices, fewer or lower-quality goods or services, or less innovation.
And with the new merger guidelines that have been in the works for a while, they will even consider the impact on workers and the labor market as well.
The era of rampant neoliberalism and unchecked deregulation has stymied antitrust enforcement in the last few decades since the 80s. This is all about to change under the DOJ and FTC with the blessings of the Biden administration. Although the tough-on-mergers stance started with the Trump administration already.
It is easier to prove that the earth is bigger than the sun than to prove that this deal will have monopoly issues.
