November Vest Being Held

You are receiving this email because you have RSUs that are scheduled to vest on November 1, 2023.

In light of the pending Broadcom acquisition, all Stock Administration functions have been paused at this time. This includes the release of RSUs scheduled to vest on November 1, 2023. Depending on when the acquisition closes, the shares subject to these RSUs may or may not be released prior to closing. Unfortunately, due to the fluidity of potential closing dates, we are unable to know definitively when the shares will be released. If the shares remain unreleased at closing, the RSUs will be converted to Broadcom RSUs and subsequently released to you as Broadcom shares, less any shares withheld for taxes as applicable. To vest in the shares, you must be employed on November 1. If you subsequently terminate employment with VMware or Broadcom, you will remain entitled to receive the shares upon release. It doesn’t matter what is happening, they have an obligation to release the stock on the contract date and let us decide what to do with it.

This might signal that VMware thinks that the deal is closing but that doesn’t mean that it will close.

Stop speculating.

The RSU conversion follows a formula which takes into account the $142.50 and the .2520 conversion just as the elected shares does, but it’s a bit of a different formula which accounts for other factors. This should signal an impending close to happen soon.

I sold all my RSU shares during October and have never looked back at that decision.

I was concerned that there were undisclosed 'conditioned' attached to the BC offer that were not in my best interest, and that's why I sold.

Folks, you have to remember who you are dealing with here. AVGO is an proven expert at deception and manipulation. You only have yourself to blame, not them.

VMware leadership has lost control of all decisions, including VMW-awarded RSUs, based on the pending acquisition.

You may recall that you all of us were encouraged, by other employees who already did it, to sell our shares before we got into this unfortunate situation.

In hindsight, I should have sold at the recent peak of $177. Lesson learned!

If the close date were formally extended and the election reopened, seems like they could fulfill the RSU's and allow those who need access to their VMW stock a window of time to make trades. Right?

Wouldn't the Broadcom RSUs be worth more? I am reading this as the RSUs are going to be released, just waiting to know which share it would be.

They won't be converted to AVGO RSUs 1 for 1. They will look at the $ value of the VMW shares and convert them to the same $ value of AVGO shares. What price they use for the value of VMW shares is very unclear, but I would not be surprised if it was $142.50. Whatever VMW price they use, that same price will likely be used to convert ALL of the unvested VMW RSUs to unvested AVGO RSUs.

Employees will be losing $30/40 per share if they are released prior to closing.

I don't quite understand the logic here. The best I can come up with is that someone thinks that if the shares were released now we could elect to get AVGO stock when the deal closes which would be worth about $177, but that is not the case unless BC extends the election deadline, which could happen, but the market clearly doesn't think so since VMW is currently trading at about $144.

VMware has a contractual obligation to release the stock upon the contract date. I just checked on Etrade and my stock grants are all pending and not released as they should be. There is no excuse for this. The people who are doing this should be fired.

That is the optimistic view. The other view is they get held till this fails and are worth far less because of the stock has crashed and you have no way to exit prior.

Employees will be losing $30/40 per share if they are released prior to closing. Spoiler - they will be. Why? It allows snr shareholders to have more of the Cash/BC pot.

Don't buy the 'BC fault' bullsh-t. Every dog on the street knew China wasn't going to approve but our incompetent leaders failed to prepare for this situation.
