Thread regarding VMware layoffs

Why don't they ever outright say they have US FTC approval?

Is it kinda like saying someone going through trial for crime is innocent because the judge said they are innocent until proven guilty? Would US FTC let such a big and controversial deal slip by even without concession?

If you have access to Google Bard or any other LLM with access to sesrch engine and latest information, ask the following prompt:

"Broadcom says per VMware acquisitom, HSR waiting period has passed and there is no legal impediment in the US. Does this mean US FTC cannot file a lawsuit to block the acquisition anymore? Also please dont confuse this with Korean FTC"

Meanwhile, both the AVGO and VMW exec insiders are selling shares, while they delay the inevitable collapse of the deal being approved. What's a fiasco, and it's likely fraudulent.

Where is the Securities and Exchange Commission (SEC) on this topic?

The answer is they are playing next level chess.

This is their world, we don’t even live in it.

Once again, not trying to predict the future and anything can happen but the question remains. Why doesnt broadcom ever just say they have US FTC approval like they do with EU, UK, etc..? Why is the statement around US something so vague like "HSR waiting period has passed and there is no legal impediment to closing the deal in the US"? Why cant they straight out say "we got US approval"? Is this kind of the same thing as when they said they "receieved foreign investment control clearance in all necessary jurisdictions" which a lot of people misinterpreted it as saying they dont need chinese approval?

They have a window to block a deal within HSR waiting period, but there is no deadline for them to file a lawsuit to block a deal. Technically they can even sue to block even after the merger is complete and tell them to unwind the deal. So technically it is true broadcom can close vmware acquisition at this point without FTC decision. However that doesnt stop FTC from coming after them right before or even soon after the deal closure and tell them to unwind and cancel the trasaction

US FTC doesn't need to approve anything. They had a window to block it and that window has passed.

I could be wrong, but my theory is that FTC knew this deal is gonna blow up into geopolitical issue, which is why they stayed radio silent this entire time. They will only give out formal answer when the china drama is sorted out
