Of course it is conditional, the offer is from Broadcom, they won't employ you if they don't own the legal entity.

Letter makes it crystal clear that it is contingent on the deal closing, which it also says is not guaranteed not to be delayed or completed. It also states - obviously - that if the deal does not close, everything contained in the letter is null and void.

It is contingent on the transaction close. If the transaction is delayed, the date of the offer will be delayed. If the transaction is cancelled, the offer is cancelled. Simple as that.
