All Hands meetings with Broadcom CFO

We had the pleasure to attend the Finance all hand meeting with the Broadcom CFO. She basically presented already known/public Information. She really did not anwer any questions in the Q&A session. However, she outlined some integration planning:

  • ERP decision by 9/15
  • Organizational structure by product line and location still in process
  • Formal day 1 (close) planning to ne organized by IT in early Sep
  • Integrational planning driven by Hock
  • People will know before close if they have a role, are on transition or will exit after close.

Broadcom employees work in the office 100%
There has been no announcement yet how this would impact Vmware after close

"People will know before close if they have a role, are on transition or will exit after close." As we now know the close date is the Sept 15th my humble guess would be that the people will get their information early Sept.

I'd expect, based on Broadcom's history, that this is going to be pretty much like every other acquisition they do. The initial wave of layoffs will be notable, but may not even be the biggest. They're going to initiate a pretty rigid RTO plan to get everyone who's still around to work in an office.

At the end of the day, and after watching this recently play out at Citrix (Tom Krause followed the Hock Tan playbook to the letter) everyone should have a "plan B" and an exit strategy. Even if you're on the list to be "retained", the Broadcom culture, and all that goes with it is going to be a cultural shift from what VMware is today. Nostalgia isn't your friend, and they're not there to preserve VMware's culture - just it's most profitable IP and operations, and nothing more.

VMware staff is gone in a couple of years. 40K staff down to 20K.

Anyone who thinks Hock will not make drastic cuts starting Day 0 and ongoing is totally dellusional. The guy has some insane profit projections for VMW, how do you think it's going to happen? Not by magic. Guy is a pro at this. I would not be surprised when all is said and done 50%+ of VMware staff is gone in a couple of years. 40K staff down to 20K.

Wrong! Hock will fire the people such that we achieve the exact racial makeup inside the company as inside each company where we operate.

Then we will have achieved our DEI goals.

The answer on WFH is simple. If there is an office close by, you are expected in the office. Whether they keep a VMW office will depend on product lines, the staff they have in different areas etc… There are definitely some exceptions but it is based on roles or if they choose to have an office in a specific area.

3 years max for reorgs. Hok said we will get to 8B in profitability in 3 years. 3 years is enough time.

We will not reach the end state right after the initial mass lay off. There will be a number of follow up reorgs and RIFs till Hock figures out the org structure and head count to achieve his EBITDA. Org stability after acquisition of this scale is going to take sometime. Not like CA, SYMANTEC.

While Hock is planning major cuts, I heard the DEI team will be expanding dramatically. More than 3000 positions will be added to that team, and they will now be involved in all critical business and technical decisions.

Being transitioned seems a better deal. At least you know when the clock stops and get things lined up as opposed to getting permed only to be laid off unexpectedly and quickly

ERP in this context is ERP tool, I e. SAP or Oracle ERP not who is going to be laid off.

However, it looks like layoff/stay/transit decisions are going to be communicated also around the same time if I am reading the post correctly.

TA/HR had a meeting with the HR CEO of Broadcom in July. She told us that there are some BU's that do work remotely, so that is not true they are 100% in-office. This is what she said: "the Sales teams are almost exclusively WFH. However, they do like people to be together."

My guess is those who get perm offers will be required to RTO 100% or most days then. The package or transition is far more attractive to me. Wouldn’t mind a perm but might not be an option since I don’t live near an office. Either way it’s best to put a plan B in place and the sooner the better. I’m ready for the final countdown.
